The custody, fund and trust administration business of this leading bank covers custody, fund administration, alternative investment and operational services on behalf of thousands of issuers and institutional investors across the globe; sovereign wealth funds, pension funds, hedge funds and central banks. The bank has seen an increase in demand for custody products, particularly in the EMEA region and where they relate to the increased activities of funds (sovereign wealth, pension, mutual and alternative investment funds). This growth has created a new opportunity for a lawyer to sit with the custody and fund administration legal group in London.
You will work closely with the business lines throughout the EMEA region and with colleagues in other parts of the bank as well as external clients, providing advice on legal and documentation issues on a very wide range of issues but focussing on the issues facing the custody, trust and fund services businesses.
The group is seeking a lawyer with 3 -5 years PQE; you will ideally be a lawyer currently focussed on custody related issues sitting in another financial institution but given the specialised nature of the post and the small number of lawyers who focus on this area across the City, the group will also consider an experienced securities/capital markets lawyer with strong documentation skills. Good knowledge of securities laws and financing arrangements (for example; a knowledge of charges, liens, set off rights and security interests) are important and if you are coming from a law firm, secondment experience in a financial institution will be important. Knowledge of securities settlement systems and asset servicing would be favourably regarded.?
A strong securities/ECM/DCM background, good corporate documentation drafting and negotiation skills and solid training at a recognised ?home? are essential. UK admission is preferred. You should have an eye to the risks involved in new products and an ability to be robust when advising internal clients and negotiating with external parties and be able to work effectively and build relationships with external counsel.
